I believe Microsoft's proposal was gentle and reasonable, but can also realize and understand Yahoo!'s state and point of view to not given up having further strategic business leadership in the Web by this acquisition. by the way the best thing happened for google and I think Y! and MS speculations both will fall, while Google's will soar up! good for Google! I think it's a good thing to have Yahoo stand alone and raise themselves up to a point where they can compete with Google. Microsoft and Yahoo need to keep on eating other companies to change there current strategies. There's still something missing from them, maybe it's each other.
